The Directory Submission is a service for competition organizers, webmasters, site owners, and marketing organizations to quickly have their site reviewed for inclusion in the Directory.

Acknowledgement and Acceptance of Service Agreement

The Directory Submission Service ("Directory Submission" or the "Service"), is provided to you under the terms and conditions of this Directory Submission Service Agreement (the "Agreement"). We reserve the right, in our sole discretion, in the future, to change, modify, add or remove all or part of the Agreement at any time.

BY COMPLETING THE SERVICE REGISTRATION FORM AND CLICKING THE "SUBMIT" BUTTON, YOU REPRESENT AND WARRANT THAT YOU ARE 18 YEARS OF AGE OR OLDER, THAT YOU AGREE TO PROVIDE TRUE, ACCURATE, CURRENT AND COMPLETE INFORMATION, AND THAT YOU AGREE TO BE BOUND BY THIS AGREEMENT.

Description of Publisher Plans

Publisher Plans are a fee-based service provided by Us to consider You as a member of Our site for submission of your prize competitions, sweepstakes, raffles or prize draws. Publishers must register their details in the form provided for initial consideration as members of Our site. Basic registration is free for ad hoc submission of offers in the Directory. Publishers can also choose to upgrade to Publisher + and Publisher Gold accounts for a fixed annual fee to benefit from unlimited listings and managed services. Description of Submission Service

Directory Submission is a fee-based service provided by Us to consider your site for inclusion in the Directory as a Standard listing. INCLUSION IS NOT GUARANTEED. Subject to the terms below, if your site is accepted, then your site's continued inclusion in the Directory will be subject to additional review at that time and to any applicable fee for the new period.

By signing up with Directory Submission, We will consider and respond to your request for inclusion in the Directory. In consideration of your payment and participation in Directory Submission in accordance with this Agreement, We agree that an editor will look at your site, consider it for inclusion in the Directory, and respond to you within three (3) business days from the date that you submit your site for consideration (excluding holiday periods observed by Us and any delays due to problems processing your request).

In order to ensure initial consideration for Directory Submission, you must submit a valid payment together with the details of your competition or web site. You agree to be charged the applicable NON-REFUNDABLE fee for initial consideration, reflecting your desired placement and the duration of its inclusion within the Directory. If your site is included, you agree that an additional fee will be payable once each initial period has elapsed, to ensure continued inclusion in the Directory. We, however, reserve the right to remove your site if it fails to meet the minimum criteria below.

You acknowledge that the payment of this fee is for consideration of your site for inclusion up to three (3) months AND DOES NOT IN ANY WAY GUARANTEE THAT YOUR SITE WILL BE INCLUDED IN THE DIRECTORY. Your payment only guarantees that an editor will consider and respond to your request within three (3) business days, by either accepting or not accepting your site. You expressly agree to pay Us such fee whether or not your site is accepted or denied inclusion.

If your site is accepted for inclusion and you wish to renew the listing for an additional three month period, you must submit your site for renewal up to one month prior to the expiry of the current listing period. Your site’s continued inclusion in the Directory will be subject to additional review by our editors to ensure it continues to meet the terms of service. If you wish to renew your listing at that time, please login to your account and edit the relevant form to submit your site once again. In addition, you agree to submit the relevant Standard listing submission fee and any relevant Featured listing fee to request for our editors to review your site for a new period. If we are unable to receive the agreed fees for inclusion, your site may be removed at the end of the initial period.

If you require a VAT invoice, please contact us providing us with your company name and address. If you are a VAT-registered company in another EU country, please also provide us with your VAT number (including the two-letter country prefix).

NOTHING IN THIS AGREEMENT OBLIGATES US TO LIST, LINK TO, OR ACCEPT YOUR SITE ANYWHERE ON OUR SITE OR IN THE DIRECTORY. IF YOUR SITE IS ACCEPTED, NOTHING IN THIS AGREEMENT OBLIGATES US TO PLACE YOUR SITE WITHIN A SPECIFIC CATEGORY, OR TO PROVIDE ANY SPECIFIC DESCRIPTIONS.

Do not submit your site to the Directory Submission program if your site already appears in the Directory, unless you wish to submit a separate competition featured on that site for inclusion. If you submit a site that already exists in the Directory, you will be charged the applicable fees for each inclusion. Nor should you submit change requests to the Directory Submission program. If you need to make a change to your listing in the Directory (this includes changing the URL, title, and/or description of the existing site), you must use the change form located in the login panel associated with your account. If you submit change requests through the Directory Submission you will be charged the applicable initial consideration fee, together with any applicable Category listing fees, and the changes you submit may not be made.

Featured directory listings

In addition to Standard listings, the Directory also includes Featured listings. Featured listings are given priority for review ahead of Standard listings and are displayed more prominently within the directory and across our website. While Featured listings are intended to be more visible than Standard listings, you agree that the placement of Featured directory listings may vary at any time according to the requirements of our editors.

If you wish to add a Featured listing in the Directory, please select the relevant option when submitting your site to the directory. In addition to the Standard listing fee, you will be asked to pay the additional Featured directory listing fee associated with your chosen option at the final payment stage.

You may upgrade your Standard listing to a Featured listing once your site has been approved by the editors. To do so, you must use the form located in the login panel associated with your account and provide the relevant payment as instructed. Your listing will only be upgraded to a Featured listing once our editors have once again reviewed your site and the relevant payment has been received. You may only upgrade your Standard listing to a Featured listing as long as it remains published within the Directory. If you wish to submit your site as a Featured listing after that time, you will first be required to submit your site once again to the Directory Submission service and pay the associated Standard listing fee, plus the Featured listing fee associated with your chosen option, together with any relevant Category listing fees.

Once the Featured listing period has elapsed, your listing will automatically return to being placed as a Standard listing, unless you apply and pay for a new Featured listing period. Your listing’s continued inclusion as a Featured listing in the Directory will be subject to additional review by our editors before appearing once again as a Featured listing. If we are unable to receive the agreed fees within the relevant Featured listing period, your listing may return to being placed as a Standard listing.

If you request to upgrade your listing from a Standard to a Featured listing after your site has been approved by our editors, you acknowledge you are responsible for choosing a Featured listing period that falls within the initial Standard listing period. If you submit payment for a Featured listing period that extends beyond the duration of your listing’s Standard listing period, please contact us to request a refund for the extra time portion. You acknowledge that at our discretion; while we consider all reasonable requests, we reserve the right to turn down such requests; we retain full discretion in determining what reimbursement amount is applicable; and that any refunds may take up to one (1) calendar month after you have been informed by email it has been approved.

All web sites submitted to Directory Submission must meet the following minimum criteria:

• The site must be up and running at all times; temporary suspension in service is acceptable as long as a clear explanation is provided to users;
• The site features at least one active competition accepting entries within two weeks of submission;
• The site must not already appear in the Directory, unless it features other holiday competitions;
• The site must clearly define its purpose, products, and/or services;
• The site must clearly provide links to its competition terms and conditions;
• The site must clearly provide the contact details of the competition organizers;
• All links on the site must work;
• The site must not contain any content, products, services or other information that may be illegal to sell under any applicable law, that may infringe or violate anyone's rights, or that, we believe, in our sole discretion, is offensive.

In addition, all sites featured in the Directory must continue to meet with the above minimum criteria throughout the listing period and are subject to regular review by our editors to ensure compliance. You acknowledge that our editors may, at their sole discretion, unpublish your site listing if it is deemed to no longer meet the above minimum criteria after changes have been made to the listing or its associated site.

Please note that the above listed are the minimum site criteria only, and editors use additional factors in deciding whether or not to accept your site for inclusion or maintain its ongoing site listed in the directory.

Selection and Listing of Competitions or Sites

We reserve the right to decide whether, where, and how a site is listed. If we accept your site, we reserve the right to list your site in any category or subcategory as we deem appropriate, in our sole discretion. We reserve the right not to include any specific keywords in the title or description of your site. We also reserve the right, in our sole discretion, to remove your site from the Directory, move the listing to a different category or subcategory, and change or remove any keywords or images at any time, for any reason.

Feedback

We will contact Applicant by email describing whether the site has been accepted or rejected. If the site is rejected, Applicant is entitled to request one appeal of the site at no additional charge by sending an email to the address provided by us. We must receive the Applicant's email within thirty (30) days from the date that we transmit the rejection email to the Applicant. If the request is timely received, we will again review the Applicant's site and will then notify Applicant of its final decision regarding including the site in the Directory. If we reaffirm our denial of the site, no further appeals or submissions will be considered.

If we accept a suggested site, Applicant is entitled to request one reconsideration of the placement of the site, comment fields, title, etc, at no additional charge by sending an email to the address provided by us. We must receive the Applicant's email within thirty (30) days from the date that we transmit the acceptance email to the Applicant. If the request is timely received, we will again review the Applicant's site and will then notify Applicant of our final decision regarding the site. Once a site is included in the Directory, if Applicant makes any substantial changes to the site, Applicant is responsible to reflect any material changes in the site’s listing. Any changes must comply with our Submission Terms of Service and are subject to regular review by our editors on an ad hoc basis to ensure compliance.

Participation

If you wish to discontinue participation in the Directory Submission program, you must send a notice to us as set forth in the Section, "Notices," below. Please state that you wish to withdraw your site from Directory Submission. Once we receive such notification from you, your participation in the Directory Submission program will cease and your listing will be removed within a period of up to one week. If you request that your listing be removed before the end period for which you have pre-paid the Non-Refundable Fee, you agree that we will not be required to refund any portion of such fee.

Applicant Privacy

We maintain information about Applicant on our servers, including but not limited to Applicant's registration information. Applicant agrees that we may use such information in aggregate form for marketing or other promotional purposes. Applicant agrees that we may disclose such information in the good faith belief that such action is reasonably necessary: (a) to comply with the law or legal process; (b) to enforce this Agreement; or (c) to protect our rights or interests as well as others; provided, however, that nothing in this section shall impose a duty on us to make any such disclosures. We may contact Applicant regarding Directory Submission using the Applicant's email address provided during the registration process (or as updated by Applicant). Such email messages may contain opportunities regarding special offers and new products from our advertisers.

Indemnity

THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THIS AGREEMENT NOR ANY DOCUMENTATION FURNISHED UNDER IT IS INTENDED TO EXPRESS OR IMPLY ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

OUR SITE, AND ITS PARENTS, SUBSIDIARIES, EMPLOYEES AND AGENTS, SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR ANY LOSS OF BUSINESS, PROFITS OR GOODWILL, LOSS OF USE OR DATA, INTERRUPTION OF BUSINESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER, EVEN IF WE ARE AWARE OF THE RISK OF SUCH DAMAGES, THAT RESULT IN ANY WAY FROM APPLICANT'S USE OF OR INABILITY TO USE THIS SERVICE, OUR ACCEPTANCE OR REJECTION OF A SUGGESTED COMPETITION OR SITE, OR OUR CONTINUED LISTING OF A COMPETITION OR SITE IN THE DIRECTORY.

OUR SITE'S LIABILITY TO APPLICANT SHALL NOT, FOR ANY REASON, EXCEED THE AMOUNT ACTUALLY PAID BY APPLICANT TO US UNDER THIS AGREEMENT.

Force Majeure

We are not liable for any delay or failure in performance under the Agreement resulting directly or indirectly from acts of God, terrorism, or other causes beyond its reasonable control.

Notices

Any notices or communications under the Agreement shall be by electronic mail and shall be deemed delivered upon receipt to the party to whom such communication is directed, at the addresses specified below. If to us, such notices shall be addressed via the contact form or to Full Circle Initiatives Ltd, 1-6 Clay Street, London W1U 6DA, United Kingdom. If to Applicant, such notices shall be addressed to the electronic or mailing address specified in Applicant's Service registration form, or such other address as either party may give the other by notice as provided in this Section. It is the Applicant's responsibility to provide an accurate address and to ensure that we are notified of any changes to Applicant's address as specified in this Section.

This Agreement constitutes the entire agreement between the parties with respect to the Service and supersedes all previous proposals, both oral and written, representations, writings and all other communications between the parties with respect to such subject matter.
